7. User-Submitted Content

If you submit any content to the Site (including reviews, comments, photographs, or other materials), you grant HI.DOZO a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, perform, and display such content in any form, media, or technology, whether now known or hereafter developed.

You represent and warrant that you have all necessary rights to grant such license and that your submitted content does not violate any third-party rights, including intellectual property, privacy, or publicity rights.

We reserve the right, but are not obligated, to remove or refuse to publish any user-submitted content at our sole discretion, at any time, and for any reason, with or without notice.

8. Reservation and Transaction Terms

Reservations made through the Site or through third-party reservation platforms (e.g., Resy) are subject to availability and any additional terms imposed by such platforms. We reserve the right to cancel or modify reservations in accordance with our policies.

All transactions conducted through the Site, including purchases of gift cards or merchandise, are subject to our standard terms of sale. Prices, availability, and product descriptions are subject to change without notice.

The Site may contain links to third-party websites or services that are not owned or controlled by HI.DOZO, including reservation platforms, social media platforms, review sites, and payment processors. We are not responsible for the content, privacy practices, or terms of use of any third- party websites or services. 10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HI.DOZO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HI.DOZO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. HI.DOZO MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE.

Some jurisdictions do not allow the exclusion of certain implied warranties, so certain of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HI.DOZO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF HI.DOZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, HI.DOZO’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow limitations on liability, so certain of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless HI.DOZO and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Site.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to your use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict- of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for the resolution of any disputes arising under these Terms.

15. Dispute Resolution

Any claim or cause of action arising out of or relating to the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred, to the extent permitted by applicable law.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect.

17. Waiver

The failure of HI.DOZO to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by HI.DOZO.

18. Assignment

HI.DOZO may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and HI.DOZO with respect to the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
